INTRODUCTION


Welcome to MrktMini. These Terms of Service ("Terms") govern your access to and use of the MrktMini platform, including our website, applications, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

MrktMini, LLC ("MrktMini," "we," "us," or "our") provides an e-commerce platform that enables users ("Merchants") to create online stores and sell products or services to customers ("Buyers"). We provide the technology infrastructure but do not directly sell products or services ourselves.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service.

ACCOUNT REGISTRATION


To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept all responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to disable any account at any time if, in our sole discretion, we believe you have violated any provision of these Terms.

MERCHANT RESPONSIBILITIES


As a Merchant using MrktMini to sell products or services, you agree to:

  • Sell only legal products and services in accordance with all applicable laws and regulations
  • Provide accurate and complete descriptions of your products and services, including pricing
  • Fulfill all orders in a timely manner as represented in your store
  • Handle customer service inquiries and disputes professionally and promptly
  • Comply with all applicable laws, including consumer protection laws, tax obligations, and export regulations
  • Maintain appropriate business licenses and permits as required by your jurisdiction
  • Not engage in any deceptive, fraudulent, or misleading practices

You are solely responsible for your products, services, and any claims or liabilities arising from your store or transactions with Buyers.

PROHIBITED ITEMS AND ACTIVITIES


You may not use the Service to sell or promote:

  • Illegal goods or services
  • Weapons, firearms, ammunition, or explosives
  • Controlled substances, illegal drugs, or drug paraphernalia
  • Counterfeit, replica, or knockoff products
  • Stolen goods or goods with removed or altered serial numbers
  • Adult content or sexually explicit material
  • Tobacco products or e-cigarettes
  • Products that infringe on intellectual property rights
  • Hazardous materials or recalled products
  • Live animals
  • Human body parts or remains
  • Any other items prohibited by applicable law

We reserve the right to determine, in our sole discretion, whether any item or activity violates these prohibitions.

PROHIBITED CONDUCT


You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any fraudulent or deceptive purpose
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any automated means to access the Service without our express permission
  • Transmit any viruses, malware, or other harmful code
  • Harass, abuse, or harm another person or entity
  • Send spam or unsolicited communications
  • Impersonate any person or entity
  • Collect or store personal information about other users without their consent

PAYMENT PROCESSING


Payment processing services for Merchants on MrktMini are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms, you also agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

As a condition of MrktMini enabling payment processing services through Stripe, you agree to provide MrktMini accurate and complete information about you and your business, and you authorize MrktMini to share it and transaction information related to your use of the payment processing services provided by Stripe.

We are not responsible for any errors, delays, or issues with payment processing that are caused by Stripe or your financial institution.

FEES AND BILLING


We may charge fees for use of the Service. Current fees, if any, will be disclosed in your account dashboard or during the signup process. We reserve the right to change our fees upon 30 days' notice. Notice may be provided by email or by posting the changes on the Service.

Stripe charges separate fees for payment processing. These fees are determined by Stripe and are subject to change. You are responsible for all Stripe fees associated with your transactions.

INTELLECTUAL PROPERTY


Your Content: You retain ownership of all content, including product images, descriptions, and other materials that you upload or post to the Service ("Your Content"). By uploading or posting Your Content, you grant MrktMini a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content in connection with operating and providing the Service.

Our Content: The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of MrktMini and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Feedback: If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction and without compensation to you.

ACCOUNT TERMINATION


We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Reasons for termination may include, but are not limited to:

  • Violation of these Terms or any applicable laws
  • Fraudulent, deceptive, or illegal activity
  • Failure to pay any fees owed
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Unexpected technical or security issues

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

DISCLAIMER OF WARRANTIES


THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

MRKTMINI DOES NOT WARRANT THAT (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

MRKTMINI IS NOT RESPONSIBLE FOR THE PRODUCTS OR SERVICES SOLD BY MERCHANTS. ALL TRANSACTIONS ARE BETWEEN MERCHANTS AND BUYERS.

LIMITATION OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MRKTMINI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MRKTMINI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO MRKTMINI IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

INDEMNIFICATION


You agree to defend, indemnify, and hold harmless MrktMini and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to Your Content, your products or services, any transactions with Buyers, or your violation of any rights of a third party.

DISPUTES BETWEEN USERS


MrktMini is not a party to the transactions between Merchants and Buyers. Any disputes regarding products, services, payments, refunds, or any other matters are between the Merchant and the Buyer. While we may, at our discretion, assist in facilitating communication or resolution, we are under no obligation to do so and shall not be liable for any disputes between users.

MODIFICATIONS TO THE SERVICE


We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

CHANGES TO TERMS


We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on the Service or by sending you an email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes. If you do not agree to the modified Terms, you must stop using the Service.

GOVERNING LAW


These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the United States, and you consent to the personal jurisdiction of such courts.

SEVERABILITY


If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

ENTIRE AGREEMENT


These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and MrktMini concerning the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and MrktMini with respect to the Service.
